Terms and Conditions Mind Academy BV

These terms and conditions are filed in the commercial register of the chamber of commerce under number 37123837.

Article 1 – Definitions

1.1 Training: Training, course, workshop, coaching or any other meeting with the aim to convey knowledge and skills.

1.2 Client: The individual or corporation, with whom an agreement relating to a training is concluded.

1.3 Participant: The individual who participants in a training.

1.4 Open training: A training initiated by Mind Academy B.V. (hereinafter referred to Mind Academy) where individuals are able to register.

1.5 Other trainings: All trainings that do not fall under section 1.4.

Article 2 – Relevance

The terms and conditions apply to all offers, general offers, agreements and (legal) proceedings between Mind Academy and client/participant.

Article 3 – Open training: Registration and payment

3.1 A person may register for an open training at Mind Academy by completing the registration form or register via https://www.mindacademy.nl

3.2 If a person takes an option on an open training, then this is both for Mind Academy and for this person a non committal reservation. No rights can be derived from an option on an open training.

3.3 If Mind Academy accepts the registration, this will be confirmed in writing. Thus the agreement with regards to participation in an open training is established.

3.4 Client/participant is aware of the terms and conditions by the realisation of the agreement.

3.5 Mind Academy will invoice the participation fee. Client is to pay the participation fee 14 days prior to the start of the open training. If the date has already expired then no later than 14 days after invoice date. The only exception is a written confirmation from Mind Academy wherein payment in installments is agreed upon.

3.6 Mind Academy has the right to refuse participation in an open training when the participation fee is not paid on time. The obligation to pay the participation fee in this situation remains the same.

3.7 Client is obliged to pay Mind Academy judicial and extrajudicial collections costs inured for overdue payments.

Article 4 – Open training: Cancellation, Hindrance and Change

4.1 Client can up to 7 days after the conclusion of the contract and up to 21 days before the start of the open training cancel free of charge.

4.2 If you cancel less than 21 days before the open training, or as a client after the start of the training terminates participation, or for other reasons cannot or is unwilling to participate in the open training, the client pays the full participation fee. The client has the right to start or continue the same training, within a period of two years after the start of the original open training agreement.

4.3 If participant is unable to participate in the entire open training, replacement by another person is possible, provided that the person has at least 7 days before the start of the open training registered with Mind Academy and meets the admission requirements.

4.4 If participant is unable to participate in several days of the open training the participant has the right to compensate these days within a period of two years after the start of the open training, in a corresponding open training.

4.5 Mind Academy has the right, by giving clear reasons, to refuse participant participation. Registration fees paid by client for not used training days will be refunded by Mind Academy within 14 days.

4.6 Mind Academy has the right to cancel an open training. Registration fees paid by the client will be refunded by Mind Academy within 14 days

4.7 Mind Academy has the right to change the start time, date or location of an open training.

Article 5 - Other training: Agreement

5.1 The agreement relating to the provision and implementation of a training is established by the client’s signature and confirmation from Mind Academy.

5.2 The contents of the order confirmation and any related offer applied is reflected in the agreement.

5.3 Client is aware of the terms and conditions in the realization of the contract.

5.4 Deviations from the General Conditions shall only be binding if they are confirmed in writing by Mind Academy.

Article 6 - Other training: Payment

6.1 After receiving the client’s signature on order confirmation, Mind Academy sends an invoice to the client

6.2 Client is required to pay the training costs at least 14 days prior to the start of the training. If that date has already expired then no later than 14 days after invoice date. The only exception is a written confirmation from Mind Academy where it is agreed to pay the amount in installments.

6.3. If before the training Mind Academy has not received full payment, Mind Academy can cancel the training. Client is obligated to pay the full course fee plus any additional costs.

6.4. Client is obliged to pay Mind Academy required reasonable judicial and extrajudicial collection costs incurred due to late payment.

6.5. The signing of the order confirmation by the client results in the obligation to pay, regardless of how the participants stop or complete the training.

Article 7 - Other training: Displacement and cancellation

7.1. A training or part of a training can be moved to another date up to 14 days before the agreed date of the training. When moving less than 14 days before the agreed date, 50% of the training costs will be charged extra.

7.2. Mind Academy reserves the right to cancel the training. Client will be informed straightaway on this matter. Mind Academy will offer the client different training data. Only if, after consultation, no other date is available, Mind Academy will refund the training costs paid by the client within 14 days.

Article 8 - Replacement Trainer

Mind Academy shall ensure that at least 1 training trainer is present, and is entitled at all times to replace a trainer with another trainer.

Article 9 - Liability / complaints

9.1. Mind Academy is committed to the training given, supplying the best of its knowledge and ability to perform.

9.2. Mind Academy is to the client / participant only liable for damage which is the direct result of intent or deliberate recklessness, and per harmful event liable for no more than the maximum sum of the training cost in which a consecutive series of facts is considered as one fact.

9.3. Mind Academy is not liable for indirect damage such as consequential loss, loss of profits and damage due to business stagnation.

9.4. Mind Academy is not liable in case where the client, participant, or a third party takes the opportunity to speak to an insurance company.

9.5. The agreement and the relationship with the client / participant is governed by Dutch law. Any disputes arising from the legal relationship are provided to the Dutch court for further consideration.

9.6. No rights can be derived for the contents of a brochure or website text.

9.7. If the client/participant has a complaint about Mind Academy, his staff or people working for Mind Academy, we refer you to the complaints procedure which can be found on https://www.mindacademy.nl.

Article 10 - Secrecy and confidentiality

Client/participant information provided to Mind Academy, his staff or people working for Mind Academy remains confidential. Mind Academy conforms to the applicable privacy legislation.

Article 11 - Intellectual property

11.1. Without written permission from Mind Academy, the client/participant is not entitled to data and/or parts and/or extracts of the training materials provided, to reproduce, reveal or exploit in any manner whatsoever.

11.2. The intellectual property of the training material comes entirely from Mind Academy.
